Terms of Service

1. Provider and scope

These Terms govern the use of Edgetrail (website and web app at edgetrail.app, “Edgetrail”). The provider is LudusNovus LLC, 1209 Mountain Road Pl NE, Ste N, Albuquerque, NM 87110, USA (“we”). Users’ own terms do not apply.

Paid plans are sold by Paddle.com as reseller (Merchant of Record, see section 9). Paddle’s buyer terms (paddle.com/legal/checkout-buyer-terms) also apply to the purchase itself.

2. Account and conclusion of contract

You need an account to use Edgetrail. By registering, we enter into a usage agreement for Edgetrail; for this you must accept these Terms. You must be at least 16 years old. If you are not yet of legal age, you need the consent of your parents or legal guardian for a paid plan.

Your details must be accurate. Each account is personal and may not be passed on. Keep your password and access to your email secret. The password is stored only as an irreversible hash; if you forget it, reset it via “Forgot password?” with a link to the email on file. Without your password and without access to that email, the account can no longer be accessed.

3. Services

Edgetrail is a tool to record, manage and analyse your own trades: journal, metrics, calendar, goals and checklists, replay and backtests on historical market data, calculators, import from the exchange and reminders. We keep developing Edgetrail and may change, add or replace features as long as the core – recording, analysing and exporting your data – remains and the change is reasonable for you. If a change impairs your use of a paid plan more than insignificantly, you may end the plan free of charge with immediate effect within 30 days of the change and receive a pro-rata refund for the remaining time; we will point this right out to you with any such change.

Historical market data comes from public sources (e.g. Bybit). We do not verify it and give no warranty as to its accuracy, completeness or timeliness.

4. No investment advice

Edgetrail is purely a documentation and analysis tool. We provide no financial services, no investment, financial, legal or tax advice, no asset management and no brokerage or execution of transactions. We are not supervised by any financial market authority (e.g. FINMA, BaFin, SEC). Metrics, backtests and replays are based on your input or on historical data and are hypothetical. You make all trading decisions yourself. The risk notice applies.

5. What is not allowed

You use Edgetrail only within the law and these Terms. In particular, the following are prohibited: attacks on our infrastructure or its security measures; automated scraping or mass requests; attempts to access other accounts or data; circumventing payment or usage limits; reselling or commercially passing on access; uploading unlawful content, in particular content that infringes the rights of third parties. Reverse engineering is only allowed where the law mandatorily permits it.

You may not use Edgetrail if you are on a sanctions list of the USA, Switzerland, the EU or the United Nations, or are located in a country or territory subject to comprehensive sanctions.

6. Your content

Everything you record or upload in Edgetrail remains yours. You grant us only the rights we need to store, process, back up and display it for you – limited to the term of the contract and non-transferable. We do not use your content for any other purpose, not for advertising and not to train AI models. You are responsible for your content.

Moderation. Your content is private; we do not routinely review it and use no automated content moderation. If we receive a substantiated notice of illegal content (see Report content) or an order from an authority, a human reviews the case and we may block or remove the content and, for serious or repeated violations, suspend the account. We will then inform you with a statement of reasons (Art. 17 DSA) and tell you how to object. Objections: by email to support@edgetrail.app; you may also turn to the competent courts.

7. Rights in Edgetrail

Edgetrail, the software, design, brand and texts belong to us or our licensors. For the term of the contract you receive a simple, non-transferable right to use Edgetrail for your own purposes. If you share cards or images from Edgetrail (e.g. via the share feature), you may keep the Edgetrail logo on them.

8. Free trial

New accounts can use Edgetrail Pro free for 14 days without providing a payment method. The trial ends on its own; no subscription and no payment obligation arise. The trial is available once per person: not again for an email address that already had an account, and not again on a device that already had a trial; disposable addresses are excluded, and the email address must be confirmed within 24 hours. When it ends, you choose a plan – and continue with all your data – or you delete your account: then we send you all your data as a file by email (and also download it in your browser). Without a plan the data can no longer be accessed in the app; nothing is deleted unless you delete the account. Importing an Edgetrail backup (JSON) requires a plan.

9. Edgetrail Pro: plans, prices, payment

There is a monthly and a yearly subscription as well as one-time purchases without a subscription (Founder while available, then Lifetime). The scope and price of each plan are shown in the plan selection and in the checkout. The prices shown are final prices in US dollars including any applicable VAT/sales tax; Paddle may also show the amount in your local currency.

The seller is Paddle. The order is concluded with Paddle when you complete the purchase in the checkout. Paddle collects the payment, issues the invoice and remits taxes. We provide access to Edgetrail Pro as soon as Paddle confirms the payment to us.

Discount codes (e.g. for partner communities) apply only as stated for the respective code, cannot be combined and may be ended for new purchases at any time. A running subscription keeps a recurring discount.

Failed payments. If a payment fails, Paddle retries it over a few days; Edgetrail Pro stays unlocked meanwhile. If payment is not made, the subscription ends. Your data stays stored; with a plan you continue, and when you delete your account you receive it by email.

10. Subscriptions: renewal and cancellation

Subscriptions renew automatically for the chosen term (one month or one year) and are billed in advance each time until you cancel. You can cancel at any time effective at the end of the current period, without notice period and without giving reasons – in any of these ways:

• in Edgetrail under Settings → “Manage subscription”,
• via Cancel contracts here – no sign-in needed,
• by email to support@edgetrail.app.

Everything stays unlocked until the end of the paid period. You receive a confirmation by email.

Yearly plan after renewal: once your yearly subscription has renewed automatically, you can cancel it at any time afterwards and receive a pro-rata refund for the remaining full months.

Both parties’ right to terminate for good cause remains unaffected.

11. Price changes

We may change subscription prices with effect for future billing periods. We announce a price change by email at least 30 days before the next billing. If you do not agree, you can cancel free of charge until then; if you do not cancel, the new price applies from the following period. We point out this consequence in the announcement.

12. Founder and Lifetime

Founder and Lifetime are one-time purchases: you pay once and use Edgetrail Pro without further costs and without a subscription for as long as we operate Edgetrail – including future Edgetrail Pro features. “Forever” refers to the lifetime of Edgetrail, not to a specific number of years. Founder is limited to the first 200 purchases.

Your protection: if we discontinue Edgetrail, we announce it by email at least 90 days in advance so you can export your data. If this happens within 3 years of your purchase, we refund the purchase price pro rata: one thirty-sixth for every month missing until the end of the 3 years.

13. Right of withdrawal and money-back guarantee

If you are a consumer in the EU or the United Kingdom, you have a statutory right of withdrawal against Paddle as seller under Paddle’s buyer terms. Independently of this, our voluntary money-back guarantee applies: within 14 days of any payment we refund the full amount, no questions asked. Details under Withdrawal & money-back. Statutory rights, in particular regarding defects, remain unaffected.

14. Availability, backups and export

We strive for uninterrupted operation but do not owe any specific availability. We carry out maintenance outside peak hours where possible. We back up the database daily. As long as you have a plan or the trial, you can export your data as JSON and CSV at any time. Without a plan you receive it in full by email when you delete your account; on request to support at any time as well (access and data portability). We recommend exporting regularly.

15. Liability

We are liable without limitation for damage arising from injury to life, body or health, for intent and gross negligence, under product liability law and within the scope of any guarantee given. In case of slight negligence, we are only liable for breach of essential contractual obligations – those whose fulfilment makes proper performance of the contract possible in the first place and on whose compliance you may regularly rely – and limited to the foreseeable damage typical for the contract at the time it was concluded. Otherwise, liability for slight negligence is excluded.

Edgetrail does not give trading recommendations. We are therefore not liable for losses from your trading decisions unless they result from an error for which we are responsible under the preceding paragraph. These rules also apply to our staff and agents. Mandatory statutory rights of consumers remain unaffected in all cases. Where the law of your place of residence does not permit certain limitations, they apply to you only to the extent permitted.

For business users additionally: to the extent permitted by law, our liability for slight negligence is limited to the fees paid in the 12 months before the event giving rise to the claim.

16. Term and termination

The usage agreement runs for an indefinite period. You can end it at any time by deleting your account in Settings; a running subscription is cancelled immediately with Paddle. For security you confirm the deletion via a link we email to your account address (if your account has no email, your password alone is enough). We may terminate free accounts with 30 days’ notice. We may terminate paid plans ordinarily only at the end of the paid period or – for Founder and Lifetime – in accordance with section 12. In case of serious breaches of these Terms we may suspend or terminate an account immediately; we will inform you with reasons. If we terminate without you having given cause, we refund paid, unused time pro rata.

17. Changes to these Terms

We may change these Terms with effect for the future if there is a valid reason, such as new features, changes in the law or case law. We inform you at least 30 days before they take effect by email or in the app and show the changes. If you do not object within this period, the new Terms apply; we point out this right and its consequences in the notice. If you object, either party may end the contract when the changes take effect; we refund paid, unused time pro rata. Changes to the main services or to prices are not made this way (for prices see section 11).

18. Communication and language

We reach you via your account’s email address and in the app. These Terms are available in German and English. In case of conflict the German version prevails unless mandatory law provides otherwise.

19. Governing law and jurisdiction

The laws of the State of New Mexico, USA, apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-law rules. If you are a consumer, this choice of law applies only insofar as it does not deprive you of the protection of the mandatory provisions of the country where you have your habitual residence. For consumers resident in Switzerland, Swiss law applies (Art. 120 PILA).

The place of jurisdiction for business users is Albuquerque, New Mexico, USA. Consumers may bring proceedings at their place of residence and may only be sued there; further mandatory places of jurisdiction remain unaffected.

20. Final provisions

If individual provisions of these Terms are invalid, the remaining provisions remain valid; the statutory provisions replace the invalid provision. We may transfer the contract to a company that continues Edgetrail; we will inform you in advance, and you may then cancel at any time.
